Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the website operated by Kingbee AI Solutions ("us", "we", or "our") or purchasing our consulting services.

1. Acceptance of Terms

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

2. Description of Services

Kingbee AI Solutions provides AI automation consulting, implementation, and auditing services specifically for fitness studios. Services include but are not limited to:

• Workflow Audits ("Profit Leak Audit")
• Custom Automation Implementation (Retention Engine, Growth Accelerator)
• Ongoing Management & Support

3. The "Profit Leak Audit" & Guarantee

We offer a conditional guarantee on our Profit Leak Audit. If our audit fails to identify at least $10,000 in potential annual savings or revenue opportunities based on your current metrics, we will refund the cost of the audit.

Limitations: This guarantee applies to the identification of opportunities, not the realization of cash. Realizing these results requires you to implement the suggested changes. If you choose not to implement our recommendations, the guarantee is void.

4. Intellectual Property

Client Data: You retain full ownership of your member data and business metrics.

Kingbee IP: The methods, templates, code snippets, and automation architectures used to build your system remain the intellectual property of Kingbee AI Solutions. You are granted a perpetual, non-exclusive license to use these systems for your specific business location. You may not resell, package, or distribute our automation code to other businesses without express written consent.

5. Third-Party Software Disclaimer

Our services involve integrating with third-party platforms (e.g., Mindbody, Zen Planner, GoHighLevel, Twilio). We are not responsible for:

• Outages, downtime, or data loss caused by these third-party platforms.
• Changes in API pricing or terms of service by these third-party platforms.

6. Limitation of Liability

In no event shall Kingbee AI Solutions, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our consulting services or automation implementations.

7. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions. Any legal action regarding this Agreement shall be brought in McLean County, Illinois.

8. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. What constitutes a material change will be determined at our sole discretion.
